4. Applicable law and Jurisdiction
This Agreement is governed by the laws of Romania and shall be construed in accordance with Romanian law.
Subject to Article 16 of Council Regulation (EC) No 44/2001 on jurisdiction, recognition and enforcement of judgments in civil and commercial matters, any dispute arising out of or in connection with this Agreement shall be submitted for settlement to the competent courts in Romania, from the headquarters of SEMA PARC S.A.5. Force majeure
Both SEMA PARC S.A. and you are exempt from liability for total or partial failure or late performance of the obligations arising from this Agreement as a result of a situation of force majeure, as force majeure is defined below. Force majeure is any external event, unpredictable, absolutely invincible and unavoidable, which defends the party invoking it from liability, subject to the written notification of the other party within 10 days from the occurrence of the case of force majeure and based on the Force Majeure Certificate issued of the Bucharest Chamber of Commerce and Industry. If, within 30 days of its occurrence, the event of force majeure does not cease, each of the parties has the right to notify the other party of the full termination of this Agreement without any of them claiming damages.
This Agreement, together with the Privacy Policy, the Cookies Policy, represents the entirety of the agreement between the parties and supersedes any prior written or verbal agreement.
