Subject to Article 16 of Council Regulation (EC) No. 44\/2001 on jurisdiction and the recognition and enforcement of judgments in civil and commercial matters, any dispute arising out of or in connection with this Agreement shall be submitted for settlement to the competent courts of Romania having jurisdiction over the registered office of <\/span>SEMA REAL ESTATE S.A.<\/b><\/p>\n

5. Force Majeure<\/span><\/h3>\n

Both <\/span>SEMA REAL ESTATE S.A.<\/b> and the User shall be exempt from liability for total or partial non-performance or delayed performance of obligations under this Agreement due to a force majeure event.Force majeure means any external, unforeseeable, absolutely invincible, and unavoidable event, which exempts the invoking party from liability, provided that the other party is notified in writing within 10 days from the occurrence of the force majeure event and based on a Force Majeure Certificate issued by the Bucharest Chamber of Commerce and Industry.<\/span><\/p>\n

If the force majeure event does not cease within 30 days from its occurrence, either party shall be entitled to notify the other party of the automatic termination of this Agreement, without either party being entitled to claim damages.<\/span><\/p>\n
